1. Parties to This Agreement

This Service Agreement (the "Agreement") is entered into between:

Service Provider

Fayajets, a technology services business registered and operating in Ghana, with its principal place of business in Madina, Accra, reachable at +233 24 029 9171 or [email protected] (hereinafter referred to as "Fayajets").

Client

The business signing up for and using the Fayajets platform, represented by an authorised owner or staff member (hereinafter referred to as the "Client").

By creating an account, checking the "I agree to the Terms and Conditions" box during signup, or by using Fayajets services, the Client confirms that they have read, understood, and agreed to all terms set out in this document.

2. Description of Services

Fayajets provides the Client with a self-serve WhatsApp AI Sales Bot platform — an automated WhatsApp assistant that handles customer enquiries, product and service questions, and order collection on behalf of the Client's business, managed by the Client through the Fayajets Shop Settings dashboard.

Plain Summary — Fayajets builds and runs the bot and dashboard. The Client runs the business and manages their own catalog. Everything that happens after the bot takes an order — delivery, payment collection, customer service — is the Client's responsibility.

3. Fees and Payment

3.1 Fee Structure

Monthly Subscription: GH₵350 per month, due on the 1st of each month in advance (unless a different arrangement has been separately agreed in writing).

3.2 Payment Method

Payments are made via the payment link provided in the Client's dashboard (Paystack) or MTN Mobile Money as separately arranged. Payment by bank transfer may be arranged on request.

Fayajets may revise subscription pricing with a minimum of 30 days' written notice to the Client. The Client may cancel within that 30-day period without penalty if they do not accept the new price.

Fayajets may terminate this Agreement immediately and without refund if the Client uses the bot to send spam, misleading information, or content that violates WhatsApp's terms of service; fails to pay the monthly subscription for more than 14 days after the due date; engages in abusive, threatening, or unlawful conduct toward Fayajets staff; or if continuing the service would require Fayajets to violate any applicable law.

5. Client Responsibilities

The Client agrees to:

  1. Provide accurate product/service names, prices, images, and descriptions via the dashboard. Fayajets is not responsible for errors resulting from incorrect information provided by the Client.
  2. Maintain a valid, active WhatsApp Business number connected to their Fayajets instance. If the number changes, the Client must notify Fayajets immediately.
  3. Keep their dashboard login credentials secure and confidential.
  4. Verify all payment screenshots manually before dispatching goods. The bot acknowledges receipt of screenshots but does not verify payments.
  5. Fulfil all orders placed through the bot promptly and professionally. The bot is a sales and communication tool — fulfilment is the Client's responsibility.
  6. Keep their catalog, pricing, delivery zones, MoMo details, and business settings up to date via the dashboard.
  7. Not use the WhatsApp bot to send unsolicited bulk messages, spam, or promotional blasts to customers who have not initiated a conversation.
  8. Comply with WhatsApp's Business Policy and Meta's terms of service at all times. Any account ban resulting from the Client's misuse is the Client's sole responsibility.
  9. Not attempt to access, reverse-engineer, copy, or resell the Fayajets platform, system prompts, or technical infrastructure.

6. Data Ownership and Privacy

6.1 Client Data Ownership

All customer data collected through the bot — including customer names, phone numbers, WhatsApp numbers, delivery addresses, and order details — belongs entirely to the Client. Fayajets processes this data solely to deliver the service described in this Agreement and for no other purpose.

6.2 What Fayajets Accesses

To operate the service, Fayajets systems access: incoming WhatsApp messages from the Client's customers; the Client's product and service catalog stored on the Fayajets platform; the Client's orders, saved directly to the Client's account; and the Client's business configuration entered via the Shop Settings dashboard.

6.3 What Fayajets Will Never Do

6.4 Compliance with Ghana Data Protection Act 2012

Both parties agree to handle personal data in accordance with Ghana's Data Protection Act, 2012 (Act 843). The Client, as the data controller for their customers' information, is responsible for ensuring that their use of this service complies with the Act. Fayajets acts as a data processor on behalf of the Client.

6.5 Security

Fayajets takes reasonable technical measures to protect the platform and credentials used to operate the service, including secure credential storage and access controls. However, Fayajets cannot guarantee absolute security and is not liable for breaches resulting from circumstances outside its reasonable control.

7. Intellectual Property

7.1 Fayajets IP

The following remain the exclusive intellectual property of Fayajets: the platform design and architecture; the system prompt framework and templates; the code and all custom automation logic; the dashboard and setup methodology; and the Fayajets brand name, logo, and any associated materials.

The Client is granted a non-exclusive, non-transferable licence to use the service for their own business during the term of this Agreement. This licence does not grant the Client any right to copy, resell, sublicence, or share the Fayajets system with any third party.

7.2 Client IP

All product content, brand materials, and business information provided by the Client remain the Client's intellectual property. Fayajets uses this content solely to configure and operate the bot and dashboard on the Client's behalf.

8. Limitation of Liability

8.1 Service Availability

Fayajets will make reasonable efforts to ensure the bot and dashboard operate reliably. However, Fayajets does not guarantee 100% uptime and is not liable for interruptions caused by WhatsApp or Meta platform outages, third-party API downtime, AI service interruptions, or internet or server infrastructure failures outside Fayajets' direct control.

8.2 Limitation on Damages

To the fullest extent permitted by law, Fayajets' total liability to the Client for any claim arising under this Agreement shall not exceed the total monthly subscription fees paid by the Client in the 3 months preceding the claim.

Fayajets shall not be liable for any indirect, consequential, or special loss including but not limited to: lost sales, lost customers, reputational damage, or business interruption — even if Fayajets was advised of the possibility of such loss.

8.3 Bot Responses

The AI bot generates responses based on the product/service information and system prompt configured by the Client. Fayajets is not liable for incorrect product information resulting from errors in the Client's own catalog entries, responses that do not align with the Client's expectations if the system prompt was not properly configured, orders that the Client fails to fulfil after the bot has confirmed them, or payment disputes between the Client and their customers.

9. Confidentiality

Both parties agree to keep the following information strictly confidential and not to disclose it to any third party without prior written consent: Fayajets will keep the Client's product pricing, order volumes, customer base size, and any business information shared during the engagement confidential; the Client will keep Fayajets' platform design, configuration, pricing structure, and any proprietary methods shared during onboarding confidential.

This confidentiality obligation survives the termination of this Agreement for a period of 2 years.

For Clarity — Fayajets will not tell other clients what your prices are, how many orders you receive, or any other details about your business. Equally, the Client agrees not to share or replicate the Fayajets system design with any other party.

10. WhatsApp Platform Compliance

The Client acknowledges that this service operates on WhatsApp's platform and is therefore subject to Meta's Business Policy and WhatsApp's Terms of Service. The Client agrees that the WhatsApp number used with this service must be a legitimate business number registered under the Client's business; the bot will only respond to customers who have initiated a conversation and will not send unsolicited messages; any activity that violates Meta's policies (including mass messaging, spam, or selling prohibited goods) is the sole responsibility of the Client; Fayajets reserves the right to temporarily suspend, restrict, or limit message sending where, in its reasonable opinion, a Client's messaging activity may violate WhatsApp policies or risk account restriction, even before any action is taken by WhatsApp or Meta; if Meta bans or restricts the Client's WhatsApp number, Fayajets is not liable and no refund will be issued; and Fayajets will not modify the system to circumvent WhatsApp's security features or rate limits.

11. Amendments and Updates to These Terms

Fayajets may update these Terms and Conditions from time to time. When this happens, the Client will be notified via WhatsApp or email at least 14 days before the changes take effect; continued use of the service after the effective date constitutes acceptance of the updated terms; and if the Client does not accept the updated terms, they may cancel the service before the effective date without penalty for that reason.

12. Dispute Resolution

12.1 Good Faith Resolution

In the event of any dispute arising under this Agreement, both parties agree to first attempt to resolve it in good faith through direct discussion. Either party may raise a concern via WhatsApp or email and the other party must respond within 5 working days.

12.2 Governing Law

This Agreement is governed by the laws of the Republic of Ghana. Any unresolved dispute shall be subject to the jurisdiction of the courts of Ghana.

By checking "I agree to the Terms and Conditions" during signup, or by continuing to use the Fayajets service, the Client confirms that they have read and understood this Agreement in full and agree to be bound by its terms.
